These Terms and Conditions govern your use of Freshmate, a product of Digitsflow LTD. By accessing or using our services, you agree to be bound by these terms.
1. Introduction & Acceptance
Welcome to Freshmate! Freshmate is a product of Digitsflow LTD ("Company", "we", "our", "us"). Digitsflow LTD is a private limited company registered in England & Wales under company number 16330711, with its registered office at 3rd Floor, 86-90 Paul Street, London, England, United Kingdom, EC2A 4NE. These Terms and Conditions ("Terms") govern your access to and use of our website, mobile app, and services (collectively, the "Service"). By creating an account, accessing, or using Freshmate, you agree to be legally bound by these Terms. If you do not accept them, you must not use our Service.
2. Definitions
"Service"
The Freshmate food inventory management platform, including website, mobile apps, and all related services.
"User" / "You"
Any individual or entity accessing or using the Service.
"Content"
All data, text, images, inventory records, and information you submit to the Service.
"Subscription"
A paid account providing access to premium features as described in our pricing plans.
3. Account Registration & Security
You must provide accurate and complete registration information, and keep your account details current.
You are responsible for maintaining the security of your account credentials. You must not share your password.
You are solely responsible for all activity under your account. Notify us immediately of any unauthorized access.
You must be at least 16 years old to use the Service. If under 18, you must have parental or guardian consent.
4. Subscriptions, Trials & Billing
Freshmate operates on a subscription model. Payment processing is handled securely by Stripe.
Free Trial: We may offer a 14-day free trial. No payment method is required to start a trial. After the trial ends, you must subscribe to continue accessing premium features.
Subscription Plans: Pricing and features for each plan are clearly displayed on our pricing page. Prices are subject to change with 30 days' notice.
Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless canceled. You will be charged automatically using your stored payment method.
Cancellation: You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period. No refunds for partial months.
Failed Payments: If payment fails, we will attempt to collect payment again. Your access may be suspended until payment is received. We may cancel your subscription after repeated failed payments.
Taxes: All prices are exclusive of VAT and other applicable taxes. You are responsible for all applicable taxes.
5. Refund Policy
Our refund policy complies with the UK Consumer Contracts Regulations 2013 for digital content:
Refunds are available within 14 days of purchase if you have not meaningfully accessed or used the Service.
Once you have begun using the Service's features (adding inventory, setting up notifications, etc.), your right to cancel is waived as digital content has been supplied.
Refunds will be processed to the original payment method within 14 days of approval.
Free trial periods do not qualify for refunds as no payment was taken.
6. Acceptable Use Policy
You agree NOT to:
Use the Service for any illegal or unauthorized purpose
Violate any laws, regulations, or third-party rights
Transmit viruses, malware, or harmful code
Attempt to gain unauthorized access or disrupt the Service
Scrape, crawl, or harvest data from the Service
Share accounts or create multiple accounts
Reverse engineer any part of the Service
Resell or redistribute the Service
Violation may result in immediate account termination without refund.
7. Your Content & Data
You retain ownership of all data you submit. However:
You grant us a license to use, store, and process your content to provide the Service.
You represent that you have all necessary rights to submit your content.
We may use aggregated, anonymized data for analytics and service improvement.
For team accounts: The organization owner controls access to shared data.
8. Intellectual Property
All content, features, and functionality of Freshmate are the exclusive property of Digitsflow LTD and are protected by UK and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
9. Warranties & Disclaimers
IMPORTANT LEGAL NOTICE
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not warrant uninterrupted, error-free service. Food Safety Disclaimer: Freshmate is a tracking tool only. We do NOT provide food safety advice. You are solely responsible for determining food safety. We are not liable for illness or injury from consumption of tracked items.
10. Limitation of Liability
MAXIMUM LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY UK LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Our total liability shall not exceed the amount you paid in the 12 months preceding the claim, or £100, whichever is greater. This excludes liability for death, personal injury from negligence, or fraud.
11. Indemnification
You agree to indemnify and hold harmless Digitsflow LTD from any claims, losses, or expenses arising from: (a) your use of the Service; (b) violation of these Terms; (c) violation of third-party rights; or (d) any illness or injury from food consumption based on tracked data.
12. Termination
By You: Cancel anytime via account settings. No refunds for partial periods.
By Us: We may terminate immediately for violations, without notice or refund.
Effect: Access ceases immediately. Data may be deleted after 30 days.
13. Privacy & Cookies
Our Privacy Policy and Cookie Policy govern data collection and use. By using the Service, you consent to these practices.
14. Changes & Governing Law
We may modify these Terms at any time. Material changes will be notified 30 days in advance. Continued use constitutes acceptance. These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of English courts.
